Terms of Service

These Terms of Service ("Terms") govern your access to and use of TrailerShopperAI ("TSAI," "the Service," "we," "us," "our"). By creating an account, subscribing to a paid plan, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

TSAI is a marketing-automation platform for trailer dealers. We generate AI-produced sales videos from your inventory data and photos, distribute those videos to your connected social-media platforms (Facebook, Instagram, TikTok, YouTube, X, LinkedIn, Pinterest, Threads, Reddit, Bluesky, Snapchat, WhatsApp, Telegram, Google Business, and others as we add them), and surface inbound DMs, comments, and reviews in a unified inbox.

The Service is delivered through our website, dashboard, public API, integrations with third-party providers, and any accompanying documentation.

2. Eligibility and your account

You must be at least 18 years old, legally able to enter into binding contracts, and authorized to act on behalf of the dealership you register. By creating an account you represent and warrant that you meet these requirements and that all information you provide is accurate, complete, and current.

You are responsible for safeguarding your account credentials and for all activity under your account, including activity by team members you invite. Notify us immediately at if you suspect unauthorized access.

We may, at our sole discretion, refuse, suspend, or remove any generated content, distribution, or account that violates this section. Repeat or material violations may result in termination without refund.

4. Intellectual property

Your content

You retain ownership of all data, photographs, voice samples, inventory listings, branding, and other content you upload to or generate through the Service (collectively, "Customer Content"). You grant TSAI a non-exclusive, worldwide, royalty-free license to host, process, transform, transmit, and store Customer Content as necessary to operate the Service for you, including transmission to the third-party providers listed in our Privacy Policy.

Generated content

Subject to your continued compliance with these Terms, you own the videos, voiceovers, music tracks, and captions generated for you by the Service ("Outputs"). You may use Outputs for any lawful business purpose, including continuing to use them after you cancel your subscription. You acknowledge that AI outputs are probabilistic and that similar outputs may be generated for other dealers; we make no warranty of uniqueness.

Our IP

The Service, the underlying software, AI prompts and prompt chains, render templates, video compositions, brand assets, and documentation are owned by TSAI and protected by intellectual property laws. We grant you a non-exclusive, non-transferable, revocable license to use the Service for the duration of your subscription. Nothing in these Terms transfers ownership of our IP to you.

5. Subscriptions, billing, and refunds

Subscription fees are charged monthly in advance via PayPal. Custom invoices and overage charges are billed at month-end. Pricing for each tier is published on our pricing page and may change with 30 days' notice; existing subscriptions remain at the price in effect when you signed up until the next renewal cycle following any change.

All fees are non-refundable per our No-Refund Policy, which is incorporated by reference into these Terms. By subscribing you specifically acknowledge that AI generation costs and social distribution events are consumed at the moment of generation/upload and cannot be returned, prorated, or refunded for any reason.

You are responsible for any sales, use, value-added, or similar taxes applicable to your subscription except for taxes based on our net income. Where required, taxes are added at checkout or in your invoice.

6. Termination

You may cancel your subscription at any time from your dashboard settings or via PayPal. Cancellation stops future billing cycles. You retain access through the end of the current billing period; unused video allowance is forfeited at period end and per the No-Refund Policy is not refunded.

We may suspend or terminate your account, with or without notice, for: (a) material breach of these Terms; (b) suspected fraud, abuse, or activity that risks our standing with social platforms; (c) chargebacks or disputed payments where the dispute is found unfounded; (d) extended non-payment; or (e) legal or regulatory necessity. On termination by us for cause, you forfeit all unused subscription allowance without refund.

7. Third-party services

The Service interoperates with third-party platforms (social networks, payment processors, AI providers, distribution providers, and others) we do not control. Your use of those platforms is governed by their respective terms. We are not responsible for the availability, accuracy, content, or actions of any third-party platform. Where a third-party platform changes its API, terms, or behavior in a way that limits or breaks Service functionality, we will use commercially reasonable efforts to adapt but make no guarantee of continued interoperability.

8. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, accuracy of AI outputs, or uninterrupted operation. We do not warrant that generated videos, captions, voice clones, or AI replies will be factually accurate, error-free, brand-appropriate, or compliant with any specific platform's policies. You are responsible for reviewing all outputs before distribution.

9. Limitation of liability

To the maximum extent permitted by applicable law, in no event will TSAI, its affiliates, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, data, inventory sales, or substitute services, even if advised of the possibility of such damages.

Our aggregate liability under these Terms in any 12-month period will not exceed the total fees you paid to us during the 12 months preceding the event giving rise to the claim. This limitation applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise.

10. Indemnification

You agree to defend, indemnify, and hold harmless TSAI, its affiliates, and their respective officers, employees, and agents from any third-party claim, demand, loss, or damage (including reasonable attorneys' fees) arising out of or related to: (a) your Customer Content; (b) your use of the Service in violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights or rights of publicity (e.g., voice cloning without consent); or (d) your violation of any applicable law.

11. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. (To be confirmed by counsel based on operating entity domicile before any treatment as final.)

Any dispute arising out of or relating to these Terms or the Service shall first be addressed by good-faith negotiation. If negotiation does not resolve the dispute within 60 days, both parties agree to binding arbitration administered by JAMS or the American Arbitration Association in accordance with their commercial arbitration rules. The arbitration shall take place in the county of TSAI's principal place of business unless both parties agree otherwise. The arbitrator's award is final and binding. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights.

You and TSAI agree that any dispute will be resolved on an individual basis only. Class actions, class arbitrations, and consolidated or representative proceedings are waived.

12. Changes to the Terms

We may update these Terms from time to time. Material changes require re-acceptance from existing dealers; we will display the new Terms at next sign-in or before next subscription action. The version and effective date at the top of this page reflect the current operative Terms. Prior versions remain binding for actions that occurred before the new version took effect.

13. Miscellaneous

These Terms together with the Privacy Policy and No-Refund Policy constitute the entire agreement between you and TSAI regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to us should be sent to .
